Simphiwe Ndamase obtained an LLB degree in 2015 from the University of South Africa and a Postgraduate Certificate in Banking and Financial Markets from the University of the Witwatersrand in 2016.

She gained experience and exposure in banking and finance transactions and commercial matters at Tshisevhe Gwina Ratshimbialni Incorporated (TGR Attorneys) where she served her articles of clerkship.

In 2016 Simphiwe joined IDF Capital (Pty) Ltd (IDF) a fund manager, managing private equity funds in excess of R 900 million as a legal advisor, specialising in drafting and negotiating of investments and playing a key role of commercial and legal risk analysis.

Simphiwe has implemented transactions spread across varied industries, ranging in products of debt in the form of term loan; revolving credit facilities; instalment sale; and shareholder loans as well as equity structures for purchase and subscription of ordinary and preference shares, coupled with quasi instruments such as convertible notes and guarantee facilities.

In her role as a legal advisor at IDF she negotiated and drafted an encommandite partnership agreement addendum, drafted and negotiated fund formation documents and negotiated a fund formation trust deed which resulted in total of an additional R 150 million investment by IDF’s stakeholders in the financial year ending 2018. From 2019 until her departure from IDF in 2020 she occupied a seat on IDF’s management committee in an unofficial management capacity, providing legal counsel to the company and contributing to the overall company strategy.
